FOR ALL SOFTWARE COMPONENT PRODUCT(S)

IMPORTANT- READ CAREFULLY: This Active Database Software ("ActiveDBSoft") End-User License Agreement ("EULA") is a legal agreement between the purchaser of SOFTWARE COMPONENT PRODUCT(S) ("Developer End User") and ActiveDBSoft for all ActiveDBSoft software components, source code, demos, intermediate files, media, printed materials, and "online" or electronic documentation ("SOFTWARE COMPONENT PRODUCT(S)") contained in this installation file.

Subject to the terms and conditions of this EULA, ActiveDBSoft grants to Developer End User a personal, nonexclusive license to install and use the SOFTWARE COMPONENT PRODUCT(S) for the sole purposes of designing, developing, testing, distributing and deploying application programs which Developer End User creates. By installing, copying, or otherwise using the SOFTWARE COMPONENT PRODUCT(S), Developer End User agrees to be bound by the terms of this EULA. If Developer End User does not agree to any part of the terms of this EULA, DO NOT INSTALL, USE, EVALUATE, OR REPLICATE IN ANY MANNER, ANY PART, FILE OR PORTION OF THE SOFTWARE COMPONENT PRODUCT(S).

All SOFTWARE COMPONENT PRODUCT(S) is licensed, not sold. If Developer End User is an individual, Developer End User must acquire an individual license for the SOFTWARE COMPONENT PRODUCT(S) from ActiveDBSoft or its authorized resellers. If Developer End User is  an entity, Developer End User must acquire, from ActiveDBSoft or its authorized resellers, an individual license for each individual developer, within Developer End User’s organization, using, and or developing with, the SOFTWARE COMPONENT PRODUCT(S).

All SOFTWARE COMPONENT PRODUCT(S) is licensed, not sold. If Developer End User is an individual, Developer End User must acquire an individual license for the SOFTWARE COMPONENT PRODUCT(S) from ActiveDBSoft or its authorized resellers. If Developer End User is an entity, Developer End User must acquire, from ActiveDBSoft or its authorized resellers, an individual license for each individual developer, within Developer End User's organization, using, and or developing with, the SOFTWARE COMPONENT PRODUCT(S).

If the SOFTWARE COMPONENT PRODUCT(S) Developer End User has obtained is marked as a "TRIAL" or "EVALUATION", Developer End User may install one copy of the SOFTWARE COMPONENT PRODUCT(S) for testing purposes ONLY.

RIGOROUS ENFORCEMENT OF INTELLECTUAL PROPERTY RIGHTS. If the licensed right of use for this SOFTWARE COMPONENT PRODUCT(S) is purchased by Developer End User with any intent to reverse engineer, decompile, and the exploitation or unauthorized transfer of any ActiveDBSoft intellectual property and trade secrets, to include any exposed methods or source code where provided, no licensed right of use shall exist, and any PRODUCT(s) created as a result shall be judged illegal by definition of all applicable law. Any sale or resale of intellectual property or created derivatives so obtained will be prosecuted to the fullest extent of all local, federal and international law.

1. GRANT OF LICENSE.

This EULA, if legally executed as defined herein, licenses and so grants Developer End User the following rights:

SOFTWARE COMPONENT PRODUCT(S). Developer End User may install and use one copy of the SOFTWARE COMPONENT PRODUCT(S), including any and all source code if provided, or any prior version legally licensed for the same operating system, on a single computer. The primary user of the computer on which the SOFTWARE COMPONENT PRODUCT(S) is installed may make a second copy for his or her exclusive use on a portable computer. Developer End User acknowledges and agrees that the SOFTWARE COMPONENT PRODUCT(S) in source code form remains a confidential trade secret of ActiveDBSoft.

(a) Storage/Network Use. Developer End User may also store or install a copy of the SOFTWARE COMPONENT PRODUCT(S) on a storage device, such as a network server, used only to install or run the SOFTWARE COMPONENT PRODUCT(S) on Developer End User's other computers over an internal network; however, Developer End User must acquire and dedicate a license for each separate computer on which the SOFTWARE COMPONENT PRODUCT(S) is installed or run from the storage device. A license for the SOFTWARE COMPONENT PRODUCT(S) may not be shared or used concurrently on different computers.

2. Not for Resale Software.

If the SOFTWARE COMPONENT PRODUCT(S) is labeled and provided as "Not for Resale" or "NFR", then, notwithstanding other sections of this EULA, Developer End User may not resell, distribute, or otherwise transfer for value or benefit in any manner, the SOFTWARE COMPONENT PRODUCT(S) or any derivative work using the SOFTWARE COMPONENT PRODUCT(S). Developer End User may not transfer, rent, lease, lend, copy, modify, translate, sublicense, time-share or electronically transmit the SOFTWARE COMPONENT PRODUCT(S), media or documentation. This also applies to any and all intermediate files, source code, and compiled executables.

3. Limitations on Reverse Engineering, Decompilation, and Disassembly.

Developer End User may not reverse engineer, decompile, or disassemble the SOFTWARE COMPONENT PRODUCT(S), and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. The provision of source code, if included with the SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal rights to such code, and resale or distribution of all or any portion of all source code and intellectual property will be prosecuted to the fullest extent of all applicable local, federal and international laws. Developer End User agrees to take all reasonable, legal and appropriate measures to prohibit the illegal dissemination of the SOFTWARE COMPONENT PRODUCT(S) or any of its constituent parts and Redistributables to the fullest extent of all applicable local, US and International Laws and Treaties regarding anti-circumvention, including but not limited to, the Geneva and Berne World Intellectual Property Organization (WIPO) Diplomatic Conferences.

4. Separation of Components, their constituent parts and Redistributables.

The SOFTWARE COMPONENT PRODUCT(S) is licensed as a single PRODUCT(s). The SOFTWARE COMPONENT PRODUCT(S) and its constituent parts and any provided Redistributables may not be reverse engineered, decompiled, disassembled or separated for use on more than one computer, nor placed for distribution, sale, or resale as individual creations by Developer End User. The provision of source code, if included with the SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal rights to such code, and resale or distribution of all or any portion of all source code and intellectual property will be prosecuted to the fullest extent of all applicable local, federal and international laws. All ActiveDBSoft libraries, source code, Redistributables and other files remain ActiveDBSoft's exclusive property. Regardless of any modifications that Developer End User makes, Developer End User may not distribute any files (particularly ActiveDBSoft source code and other non-executable files) except those that ActiveDBSoft has expressly designated as a Redistributable.

5. Rental.

Developer End User may not rent, lease, or lend the SOFTWARE COMPONENT PRODUCT(S).

6. Transfer.

Except as expressly allowed hereunder, Developer End User may NOT permanently or temporarily transfer ANY of its rights under this EULA to any individual or entity. Regardless of any modifications which Developer End User makes and regardless of how Developer End User might compile, link, and/or package its programs, under no circumstances may the libraries, code, Redistributables, and/or other files of the SOFTWARE COMPONENT PRODUCT(S) (including any portions thereof) be used for developing programs by anyone other than Developer End User. Only Developer End User has the right to use the libraries, code, Redistributables, or other files of the SOFTWARE COMPONENT PRODUCT(S) (or any portions thereof) for developing programs created with the SOFTWARE COMPONENT PRODUCT(S). In particular, Developer End User may not share copies of the Redistributables with other co-developers not individually licensed hereunder. Developer End User may not reproduce or distribute any ActiveDBSoft documentation without ActiveDBSoft's explicit permission.

With written notification to ActiveDBSoft, Developer End User may transfer its license of the SOFTWARE COMPONENT PRODUCT(S) to a successor company.

7. Royalty free redistribution.

ActiveDBSoft PRODUCT(s) may include certain files ("Redistributables") intended for distribution by Developer End User to the users of programs Developer End User creates. Redistributables include, for example, those files identified in printed or on-line documentation or identified by ActiveDBSoft as redistributable files, or those files preselected for deployment by an install utility provided with the SOFTWARE COMPONENT PRODUCT(S) (if any). In any event, the Redistributables for the SOFTWARE COMPONENT PRODUCT(S) are only those files specifically designated as such by ActiveDBSoft.

Subject to all of the terms and conditions in this EULA, Developer End User may reproduce and distribute exact copies of the Redistributables, provided that such copies are made from the original copy of the SOFTWARE COMPONENT PRODUCT(S) or the copy transferred to the single hard disk. Having the source code of SOFTWARE COMPONENT PRODUCT(S), Developer End User may distribute copies of Redistributables built from modified source code. Copies of Redistributables may only be distributed with and for the sole purpose of executing application programs permitted under this EULA that Developer End User has created using the SOFTWARE COMPONENT PRODUCT(S). Under no circumstances may any copies of Redistributables be distributed separately.

REDISTRIBUTABLES. To obtain a list of Redistributables that apply under this EULA, contact customer-service@activedbsoft.com

Distribution by the Developer End User of any design-time tools (EXE's OCX's or DLL's), executables, and source code distributed to Developer End User by ActiveDBSoft as part of this SOFTWARE COMPONENT PRODUCT(S) and not explicitly identified as a Redistributable file is strictly prohibited. The Developer End User shall not develop software applications that provide an application programming interface to the SOFTWARE COMPONENT PRODUCT(S) or the SOFTWARE COMPONENT PRODUCT(S) as modified.

The Developer End User may NOT distribute the SOFTWARE COMPONENT PRODUCT(S), in any format, to other users for development or application compilation purposes. Specifically, if Developer End User creates a control using the SOFTWARE COMPONENT PRODUCT(S) as a constituent control, Developer End User may NOT distribute the control created with the SOFTWARE COMPONENT PRODUCT(S) (in any format) to users to be used at design time or for ANY development purposes.

Developer End User MAY NOT REDISTRIBUTE any SOFTWARE COMPONENT PRODUCT(s) files if using an evaluation, trial, Not for Resale, or demo version of the SOFTWARE COMPONENT PRODUCT(s).

8. Additional restrictions.

DEVELOPER END USER MAY NOT CREATE NEW 'ACTIVE X' COMPONENTS OR '.NET' COMPONENTS, or ANY OTHER COMPONENT ARCHITECTURE, INCLUDING BUT NOT LIMITED TO DLLs, FOR DISTRIBUTION OUTSIDE OF DEVELOPER END USER'S COMPANY IN ANY FORM, MANNER OR MEDIA OR USING ANY DISTRIBUTION CHANNEL, WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND ITS RELATED SOURCE CODE.

DEVELOPER END USER MAY NOT CREATE ANY TOOL OR SOFTWARE COMPONENT PRODUCT(S) THAT DIRECTLY OR INDIRECTLY COMPETES WITH THE SOFTWARE COMPONENT PRODUCT(S) WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND ITS RELATED SOURCE CODE.

9. Upgrades.

If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, Developer End User must be properly licensed to use the SOFTWARE COMPONENT PRODUCT(S) identified by ActiveDBSoft as being eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT(S). A SOFTWARE COMPONENT PRODUCT(S) labeled as an upgrade replaces and/or supplements the SOFTWARE COMPONENT PRODUCT(S) that formed the basis for Developer End User's eligibility for the upgrade, and together constitutes a single PRODUCT(S). Developer End User may use the resulting upgraded PRODUCT(S) only in accordance with all the terms of this EULA.

10. Copyright.

All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(S) (including but not limited to any copywritten images, demos, source code, intermediate files, packages, photographs, Redistributables, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S) the accompanying printed materials, and any copies of the SOFTWARE COMPONENT PRODUCT(S)) are owned by ActiveDBSoft or its subsidiaries. The SOFTWARE COMPONENT PRODUCT(S) is protected by copyright laws and international treaty provisions and therefore, Developer End User must treat the SOFTWARE COMPONENT PRODUCT(S) like any other copyrighted material except that Developer End User may install the SOFTWARE COMPONENT PRODUCT(S) as described in this EULA.

11. Installation and Use.

The license granted in this EULA for Developer End User to create Developer End User's own compiled programs and distribute Developer End User programs and the Redistributables (if any), is subject to all of the following conditions: (i) all copies of the programs Developer End User creates must bear a valid copyright notice, either Developer End User's own or the ActiveDBSoft copyright notice that appears on the SOFTWARE COMPONENT PRODUCT(S); (ii) Developer End User may not remove or alter any ActiveDBSoft copyright, trademark or other proprietary rights notice contained in any portion of ActiveDBSoft libraries, source code, Redistributables or other files that bear such a notice; (iii) ActiveDBSoft provides no warranty at all to any person, other than the Limited Warranty provided to Developer End User and Developer End User will remain solely responsible to anyone receiving Developer End User's programs for support, service, upgrades, or technical or other assistance, and such recipients will have no right to contact ActiveDBSoft for such services or assistance; (iv) Developer End User will indemnify and hold ActiveDBSoft, its related companies and its suppliers, harmless from and against any claims or liabilities arising out of End Developer's use, reproduction or distribution of Developer End User's programs; (v) Developer End User's programs containing ActiveDBSoft SOFTWARE COMPONENT PRODUCT(S) must be written using a licensed, registered copy of the SOFTWARE COMPONENT PRODUCT(S); (vi) Developer End User's programs must add primary and substantial functionality, and may not be merely a set or subset of any of the libraries, code, Redistributables or other files of the SOFTWARE COMPONENT PRODUCT(S); (vii) regardless of any modifications which Developer End User makes and regardless of how Developer End User might compile, link, or package Developer End User's programs, the libraries, code, Redistributables, and/or other files of the SOFTWARE COMPONENT PRODUCT(S) (including any portions thereof) may not be used in programs created by Developer End User's end users (i.e., users of Developer End User programs) and may not be further redistributed by Developer End User end users; and (viii) Developer End User may not use ActiveDBSoft's or any of its suppliers' names, logos, or trademarks to market Developer End User programs.

12. U.S. GOVERNMENT RESTRICTED RIGHTS.

The SOFTWARE COMPONENT PRODUCT(S) is Commercial Computer Software provided with RESTRICTED RIGHTS under Federal Acquisition Regulations and agency supplements to them. Use, duplication or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFAR 255.227-7013 et. seq. or 252.211-7015, or subparagraphs (a) through (d) of the Commercial Computer Software Restricted Rights at FAR 52.227-19, as applicable, or similar clauses in the NASA FAR Supplement. Contractor-manufacturer is ActiveDBSoft.

13. Export restrictions.

ActiveDBSoft expressly complies with all export restrictions imposed by the government of the United States of America. Developer End User agrees not to export or re-export the SOFTWARE COMPONENT PRODUCT(S) within any created application to any country, person, entity or end user subject to U.S.A. export restrictions. Restricted countries currently include, but are not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and Syria. Developer End User warrants and represents that neither the U.S.A. Bureau of Export Administration nor any other federal agency has suspended, revoked or denied Developer End User's export privileges.

14. Disclaimer of warranty.

ActiveDBSoft expressly disclaims any warranty for the SOFTWARE COMPONENT PRODUCT(S). THE SOFTWARE COMPONENT PRODUCT(S) AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. ActiveDBSoft DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE SOFTWARE COMPONENT PRODUCT(S) IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE COMPONENT PRODUCT(S) REMAINS WITH DEVELOPER END USER. No oral or written information or advice given by ActiveDBSoft or its employees shall create a warranty or in any way increase the scope of this warranty.

15. Limitations on liability.

To the maximum extent permitted by applicable law, in no event shall ActiveDBSoft be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE COMPONENT PRODUCT(S) or the provision of or failure to provide Support Services, even if ActiveDBSoft has been advised of the possibility of such damages.

Developer End User understands that the SOFTWARE COMPONENT PRODUCT(S) may produce inaccurate results because of a failure or fault within the SOFTWARE COMPONENT PRODUCT(S) or failure by Developer End User to properly use and or deploy the SOFTWARE COMPONENT PRODUCT(S). Developer End User assumes full and sole responsibility for any use of the SOFTWARE COMPONENT PRODUCT(S), and bears the entire risk for failures or faults within the SOFTWARE COMPONENT PRODUCT(S). Developer End User agrees that regardless of the cause of failure or fault or the form of any claim, DEVELOPER END USER'S SOLE REMEDY AND ActiveDBSoft'S SOLE OBLIGATION SHALL BE GOVERNED BY THIS AGREEMENT AND IN NO EVENT SHALL ActiveDBSoft'S LIABILITY EXCEED THE PRICE PAID TO ActiveDBSoft FOR THE SOFTWARE COMPONENT PRODUCT(S). This Limited Warranty is void if failure of the SOFTWARE COMPONENT PRODUCT(S) has resulted from accident, abuse, alteration, unauthorized use or misapplication of the SOFTWARE COMPONENT PRODUCT(S).

16. Indemnification.

Developer End User hereby agrees to indemnify ActiveDBSoft and its officers, directors, employees, agents, and representatives from each and every demand, claim, loss, liability, or damage of any kind, including actual attorneys fees, whether in tort or contract, that it or any of them may incur by reason of, or arising out of, any claim which is made by any third party with respect to any breach or violation of this Agreement by Developer End User or any claims based on the SOFTWARE COMPONENT PRODUCT(S) included in Developer End User's program(s).

17. Support services.

ActiveDBSoft may provide Developer End User with support services related to the SOFTWARE COMPONENT PRODUCT(S) ("Support Services"). Use of Support Services is governed by ActiveDBSoft policies and programs described in the user manual, in "on line" documentation and/or other ActiveDBSoft provided materials. Any supplemental SOFTWARE COMPONENT PRODUCT(S) provided to Developer End User as part of the Support Services shall be considered part of the SOFTWARE COMPONENT PRODUCT(S) and subject to the terms and conditions of this EULA. With respect to technical information Developer End User provides to ActiveDBSoft as part of the Support Services, ActiveDBSoft may use such information for its business purposes, including for SOFTWARE COMPONENT PRODUCT(s) support and development. ActiveDBSoft will not utilize such technical information in a form that personally identifies Developer End User.

18. Termination.

Without prejudice to any other rights or remedies, ActiveDBSoft will terminate this EULA upon Developer End User's failure to comply with all the terms and conditions of this EULA. In such events, Developer End User must destroy all copies of the SOFTWARE COMPONENT PRODUCT(S) and all of its component parts including any related documentation, and must remove ANY and ALL use of such technology immediately from any applications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) developed by Developer End User, whether in native, altered or compiled state.

19. Miscellaneous.

This EULA shall be construed, interpreted and governed by the laws of the State of Nevada, U.S.A. This EULA gives Developer End User specific legal rights; Developer End User may have others that vary from state to state and from country to country.

This EULA may only be modified in writing signed by Developer End User and an authorized officer of ActiveDBSoft.  If any provision of this EULA is found void or unenforceable, the remainder will remain valid and enforceable according to its terms.  If any remedy provided is determined to have failed for its essential purpose, all limitations of liability and exclusions of damages set forth in the Limited Warranty shall remain in effect.

ActiveDBSoft reserves all rights not specifically granted in this EULA.

ACKNOWLEDGEMENTS. Developer End User acknowledges that he or she has read this Agreement, understands it, and agrees to be bound by its terms and conditions.

REGISTERED VERSION

EVALUATION VERSION

If the software you have obtained is marked as a "Trial" or "Evaluation", you may install one copy of the software for testing purposes for a evaluation version of 30 calendar days ("Evaluation period"). After that period has ended, to continue using this product you have to purchase the "Registered version" or remove entire product from your system.

ROYALTY FREE DISTRIBUTION

The Registered version of the product and all accompanying .NET controls can be distributed in a binary form as part of an executable program only with the following conditions:

Subject to all the terms and conditions of this AGREEMENT, DEVEXPRESS grants LICENSEE a non-exclusive, non-transferable license to install and use the SOFTWARE DEVELOPMENT PRODUCT(S) included in this distribution as authorized in sections 1.1 through 1.5 below:

1.1 INDIVIDUAL USE LICENSE.

If you are an individual, you may install, copy, and use the SOFTWARE DEVELOPMENT PRODUCT(S) by purchasing a 12 month subscription from DEVEXPRESS or its authorized resellers, in accordance with Section 9 of this AGREEMENT.

1.2 BUSINESS AND GOVERNMENT USE LICENSE.

DEVEXPRESS licenses the SOFTWARE DEVELOPMENT PRODUCT(S) on a per-developer basis. If you represent a business and/or entity, you or your employees may install, copy, and use the SOFTWARE DEVELOPMENT PRODUCT(S) by purchasing a 12 month subscription from DEVEXPRESS or its authorized resellers for each developer using the SOFTWARE DEVELOPMENT PRODUCT(S), in accordance with Section 9 of this AGREEMENT. The number of licensed developers using the SOFTWARE DEVELOPMENT PRODUCT(S) must equal or be less than the number of seats purchased from DEVEXPRESS or its authorized resellers.

1.3 COMPLIMENTARY USE LICENSE.

If the SOFTWARE DEVELOPMENT PRODUCT(S) you have obtained is marked as "COMPLIMENTARY" or "FREE", you may install and use the SOFTWARE DEVELOPMENT PRODUCT(S).

DEVEXPRESS reserves the right to discontinue at its discretion and without advance notice, the availability of COMPLIMENTARY or FREE versions of the SOFTWARE DEVELOPMENT PRODUCT(S) or its constituent parts at any time.

1.4 THIRTY (30) DAY EVALUATION (TRIAL) USE LICENSE.

If the SOFTWARE DEVELOPMENT PRODUCT(S) you have obtained is marked as a "TRIAL" or "EVALUATION," you may install one copy of the SOFTWARE DEVELOPMENT PRODUCT(S) for evaluation purposes only, for a period of 30 calendar days from the date of installation ("EVALUATION PERIOD"). Upon expiration of the EVALUATION PERIOD, the SOFTWARE DEVELOPMENT PRODUCT(S) must be uninstalled and all copies destroyed.

You MAY NOT CREATE applications or begin software projects using the SOFTWARE DEVELOPMENT PRODUCT(S) under the terms of the THIRTY (30) DAY EVALUATION (TRIAL) USE LICENSE.

You MAY NOT REDISTRIBUTE files in the SOFTWARE DEVELOPMENT PRODUCT(S) distribution if using an evaluation or trial version of the SOFTWARE DEVELOPMENT PRODUCT(S).

1.5 PRE-RELEASE SOFTWARE

SOFTWARE DEVELOPMENT PRODUCT(S) marked as PRE-RELEASE (including but not limited to the designation of Alpha, Beta, Community Technology Preview "CTP", or Release Candidate "RC") may contain deficiencies and as such, should not be considered for use or integrated in any mission critical application.

DEVEXPRESS may, at its sole discretion, discontinue availability of the PRE-RELEASE software, limit or modify PRE-RELEASE software functionality, or eliminate SUPPORT SERVICES for the PRE-RELEASE software at any time. 2. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY.

If the SOFTWARE DEVELOPMENT PRODUCT(S) is purchased by you with the intent to reverse engineer, decompile, create derivative works, or the exploitation and unauthorized transfer of any DEVEXPRESS intellectual property and trade secrets, to include any exposed methods or source code where provided, no licensed right of use shall exist and any PRODUCT(s) created as a result shall be judged illegal by definition. Any sale or resale of intellectual property or created derivatives so obtained will be prosecuted to the fullest extent of all local, federal and international law.

3. SEPARATION OF COMPONENTS.

The SOFTWARE DEVELOPMENT PRODUCT(S) is licensed as a single PRODUCT(S). The SOFTWARE DEVELOPMENT PRODUCT(S) and its constituent parts and any provided redistributables may not be reverse engineered, decompiled, disassembled or separated for use on more than one computer, nor placed for distribution, sale, or resale as individual creations by LICENSEE. The provision of source code, if included with the SOFTWARE DEVELOPMENT PRODUCT(S), does not constitute transfer of any legal rights to such code, and resale or distribution of all or any portion of all source code and intellectual property will be prosecuted to the fullest extent of all applicable local, federal and international laws. All DEVEXPRESS libraries, source code, redistributables and other files remain DEVEXPRESS's exclusive property. You may not distribute any files, except those that DEVEXPRESS has expressly designated as REDISTRIBUTABLE(S).

4. RENTAL.

You may not rent, lease, or lend the SOFTWARE DEVELOPMENT PRODUCT(S).

5. TRANSFER.

You may NOT permanently or temporarily transfer ANY of your rights under this AGREEMENT to any individual or business or government entity without prior written approval from DEVEXPRESS. Regardless of any modifications which you make and regardless of how you might compile, link, and/or package your programs, under no circumstances may the libraries, Redistributables, and/or files included in the SOFTWARE DEVELOPMENT PRODUCT(S) (including any portions thereof) be used for developing programs by anyone other than you. Only you as the LICENSEE have the right to use the libraries, redistributables, or other files of the SOFTWARE DEVELOPMENT PRODUCT(S) (or any portions thereof) for developing programs created with the SOFTWARE DEVELOPMENT PRODUCT(S). 6. REDISTRIBUTION.

The LICENSEE may NOT distribute the SOFTWARE DEVELOPMENT PRODUCT(S), in any format, to others for development or application compilation purposes.

If you have purchased a 12 month subscription as described in Section 9 of this AGREEMENT, or have obtained a COMPLIMENTARY USE LICENSE as described in Section 1.3 of this AGREEMENT, you may reproduce and distribute copies of the REDISTRIBUTABLES, provided that such copies are made from the original copy of the REDISTRIBUTABLES included with the SOFTWARE DEVELOPMENT PRODUCT(S) or modified versions of the REDISTRIBUTABLES which are provided to you by DEVEXPRESS or those which you create. Copies of REDISTRIBUTABLES may only be distributed with and for the sole purpose of executing application programs permitted under this AGREEMENT that you have created using the SOFTWARE DEVELOPMENT PRODUCT(S).

LICENSEE MAY NOT REDISTRIBUTE any files in the SOFTWARE DEVELOPMENT PRODUCT(S) distribution if using an evaluation, trial, Not for Resale, or demo version of the SOFTWARE DEVELOPMENT PRODUCT(S).

The SOFTWARE DEVELOPMENT PRODUCT(S) is protected by copyright laws and international treaty provisions and therefore, you must treat the SOFTWARE DEVELOPMENT PRODUCT(S) like any other copyrighted material except that you may install and use the SOFTWARE DEVELOPMENT PRODUCT(S) as described in this AGREEMENT.

8. OPEN SOURCE LIBRARIES.

The SOFTWARE DEVELOPMENT PRODUCT(S) found in this installation package may include or require certain third-party, open source components or libraries ("THE OPEN SOURCE LIBRARIES").

Where applicable, DEVEXPRESS may include a "NOTICE" file to provide a list of THE OPEN SOURCE LIBRARIES required for certain portions of the documentation, sample source code, and other demo projects.

9. TWELVE (12) MONTH SUBSCRIPTION AND UPDATES.

DEVEXPRESS licenses the SOFTWARE DEVELOPMENT PRODUCT(S) on a subscription basis. A subscription lasts for a 12 month period from the date of purchase. LICENSEE will be eligible to receive all major and minor updates for the SOFTWARE DEVELOPMENT PRODUCT(S) during this 12 month period. Upon expiration of a subscription (12 months, plus 1 day after original purchase date), LICENSEE can optionally renew the SOFTWARE DEVELOPMENT PRODUCT(S) subscription for an additional 12 month period (and each subsequent year thereafter) in order to continue receiving major and minor updates of the SOFTWARE DEVELOPMENT PRODUCT(S) from DEVEXPRESS.

If the SOFTWARE DEVELOPMENT PRODUCT(S) is labeled as an update, you must be properly licensed to obtain the updated SOFTWARE DEVELOPMENT PRODUCT(S). A SOFTWARE DEVELOPMENT PRODUCT(S) labeled as an update replaces and/or supplements the SOFTWARE DEVELOPMENT PRODUCT(S) that formed the basis for your eligibility for the update, and together constitutes a single PRODUCT(S). You may only use the updated PRODUCT(S) in accordance with all the terms of this AGREEMENT.

Pricing for the 12 month SOFTWARE DEVELOPMENT PRODUCT(S) subscription and any subsequent renewal of the subscription are listed on devexpress.com and subject to change with or without notice.

REDISTRIBUTABLES referenced in this AGREEMENT are dependent upon the type of 12 month subscription purchased from DEVEXPRESS.

DEVEXPRESS reserves the right to discontinue the SOFTWARE DEVELOPMENT PRODUCT(S) or its constituents, at any time.

10. DOWNLOAD of SOFTWARE DEVELOPMENT PRODUCT(S).

The SOFTWARE DEVELOPMENT PRODUCT(S) will be made available for download from DevExpress.com exclusively.

11. EXPORT RESTRICTIONS.

DEVEXPRESS expressly complies with all export restrictions imposed by the government of the United States of America. You, as LICENSEE, must agree not to export or re-export the SOFTWARE DEVELOPMENT PRODUCT(S) within any created application to any country, person, entity or end user subject to U.S.A. export restrictions. Restricted countries currently include, but are not necessarily limited to Cuba, Iran, North Korea, Sudan, and Syria. You warrant and represent that neither the U.S.A. Bureau of Export Administration nor any other federal agency has suspended, revoked or denied your export privileges.

12. DISCLAIMER OF WARRANTY.

DEVEXPRESS expressly disclaims any warranty for the SOFTWARE DEVELOPMENT PRODUCT(S). 14. INDEMNIFICATION.

You hereby agree to indemnify DEVEXPRESS and its officers, directors, employees, agents, and representatives from each and every demand, claim, loss, liability, or damage of any kind, including actual attorney's fees, whether in tort or contract, that it or any of them may incur by reason of, or arising out of, any claim which is made by any third party with respect to any breach or violation of this AGREEMENT by you or any claims based on the Applications and the SOFTWARE DEVELOPMENT PRODUCT(S) included herein, including without limitation any claims asserted by your end user customers.

15. U.S. GOVERNMENT RESTRICTED RIGHTS.

For SOFTWARE DEVELOPMENT PRODUCT(S) purchased, installed, copied or otherwise used on behalf of any United States Government agency or department ("US GOVT"), US GOVT agrees that the SOFTWARE DEVELOPMENT PRODUCT(S) are acquired with restricted rights according to the following:

For the Department of Defense: The SOFTWARE DEVELOPMENT PRODUCT(S) is "Commercial Computer Software" as defined in Clause 252.227-7013(c)(1) of the DFARS.

For all agencies or departments: US GOVT rights in the SOFTWARE DEVELOPMENT PRODUCT(S) is defined in Clause 52.227-19(c)(2) of the FAR.

The manufacturer of the SOFTWARE DEVELOPMENT PRODUCT(S) is: Developer Express, Inc., 505 N. Brand Blvd Suite 1450 Glendale, CA 91203.

16. SUPPORT SERVICES.

DEVEXPRESS may provide you with support services related to the SOFTWARE DEVELOPMENT PRODUCT(S) ("SUPPORT SERVICES"). Use of SUPPORT SERVICES is governed by DEVEXPRESS policies and programs described in the user manual, in "on line" documentation and/or other DEVEXPRESS provided materials. DEVEXPRESS may restrict or otherwise discontinue SUPPORT SERVICES provided to you if your use of SUPPORT SERVICES is deemed by DEVEXPRESS, in its sole and reasonable discretion, to be excessive and beyond the scope of fair use.

Any supplemental SOFTWARE DEVELOPMENT PRODUCT(S) provided to you as part of the SUPPORT SERVICES shall be considered part of the SOFTWARE DEVELOPMENT PRODUCT(S) and subject to the terms and conditions of this AGREEMENT. With respect to technical information you provide to DEVEXPRESS as part of the SUPPORT SERVICES, DEVEXPRESS may use such information for its business purposes, including for SOFTWARE DEVELOPMENT PRODUCT(S) support and development.

17. TERMINATION.

Without prejudice to any other rights or remedies, DEVEXPRESS will terminate this AGREEMENT upon your failure to comply with all the terms and conditions of this AGREEMENT. In such events, LICENSEE must destroy all copies of the SOFTWARE DEVELOPMENT PRODUCT(S) and all of its component parts including any related documentation, and must remove ANY and ALL use of DEVEXPRESS intellectual property from any applications distributed by LICENSEE, whether in native, altered or compiled states.

18. TAX.

DEVEXPRESS delivers its software electronically and does not collect sales or use tax for residents of US states in which it operates. You should confirm that your local, state, or federal government does not impose any sales or use tax on electronically delivered software. You are entirely liable for any such sales or use tax.

19. PERSONAL DATA.

All Information DEVEXPRESS collects from you is stored and maintained on servers utilizing reasonable and appropriate data security safeguards. DEVEXPRESS does not lend, lease, sell, or market information it obtains from its customers or those who provide us personally identifiable information. DEVEXPRESS does not disclose purchase information or licensing information to third parties.

DEVEXPRESS collects personally identifiable information whenever you purchase/license a DEVEXPRESS product or service. Information includes Name, Address, Phone Number, Email address, Payment Information, Product Purchases, Licenses Owned, Employee/Contact Details, etc. The information we collect allows DEVEXPRESS to communicate with you regarding upcoming product updates, new product releases, company news and other important business matters.

DEVEXPRESS does not wish to receive, act to procure, nor desire to solicit, confidential or proprietary materials and information from you through the use of the SOFTWARE DEVELOPMENT PRODUCT(S) or SUPPORT SERVICES. You are responsible for maintaining confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and in case of any unauthorized activity on your account, you agree to inform DEVEXPRESS immediately by any method listed on the DEVEXPRESS website's Contacts page. DEVEXPRESS is not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

DEVEXPRESS may disclose or report Confidential Information in limited circumstances where it believes in good faith that disclosure is required under the law. 19.1 CUSTOMER EXPERIENCE PROGRAM

When you optionally join the Customer Experience Program, your computer or device automatically transmits information to DEVEXPRESS about the usage of the SOFTWARE DEVELOPMENT PRODUCT(S). This information is used to address issues within DEVEXPRESS products and improve quality/usability.

Opt in/Opt out

The Customer Experience Program is strictly optional and you can opt in or opt out of the program at any time by executing the DEVEXPRESS installer and making the appropriate selection within the installation program.

Privacy

The Customer Experience Program does not transmit personally identifiable information such as your name, address or phone number.

What we collect

The Customer Experience Program only collects information related to DEVEXPRESS controls and libraries. This information includes usage of DEVEXPRESS controls at design time within Visual Studio and usage of DEVEXPRESS demos. DEVEXPRESS CodeRush collects project type and file type information when you edit code in Visual Studio. No information is collected from applications/demos you create.

19.2 DEMO FEEDBACK

The Demo Feedback feature presented within the included demo applications of the SOFTWARE DEVELOPMENT PRODUCT(S), allows you to send feedback to DEVEXPRESS and, optionally, include any additional information to describe the specific compliment or concern you may have with regards to the demo application. Although Demo Feedback doesn't intentionally collect personally identifiable information, it is possible that such information might be captured in the feedback text you provide. DEVEXPRESS does not wish to receive such information nor will it use this information to identify you.

Except as otherwise described in this statement, Demo Feedback does not transmit personal information to DEVEXPRESS.

20. MISCELLANEOUS.

DEVEXPRESS CodedUI Extensions are licensed as part of the DEVEXPRESS Universal Subscription. No right of use or license is granted to DEVEXPRESS CodedUI Extensions unless LICENSEE obtains a Subscription for DEVEXPRESS Universal as outlined in Section 9 of this AGREEMENT.

1. IMPORTANT NOTICE.

YOU SHOULD READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE YOU DOWNLOAD, INSTALL OR USE E-ICEBLUE'S COMPONENT AND RELATED DOCUMENTATION (THE "LICENSED SOFTWARE") DISTRIBUTED UNDER THE TRADEMARK OF COMPONENT AND/OR E-ICEBLUE. 2. DEFINITIONS.

A. "e-iceblue" means e-iceblue Corporation

B. "You" and "Your" mean the party purchasing a license to use the Licensed Software under the terms of this agreement.

C. "Application Programming Interface or API" means a publicly accessible interface defining the ways by which an application program may request services from libraries and/or software.

D. "Licensed Software" means compiled Objects, Modules, License Key and any and all updates thereto, together with all associated documentation provided by e-iceblue or its authorized resellers.

E. "License Key" means a unique code provided by e-iceblue or its authorized resellers which identifies You, as well as the license type, and which unlocks or enables certain features of the Licensed Software.

F. "Application" or "Your Application" means a software application that You develop which incorporates all or parts of the Licensed Software.

G. "Evaluation Trial Period" means a specified period of time during which You may temporarily use the Licensed Software for evaluation purposes only.

3. LICENSE GRANT.

The Cumulative License granted to You by e-iceblue is a combination of the Base License Grant, described in section (3A) below, which is common to every Licensed Software title covered by this agreement, and one or more supplemental License Grant which covers the specific product obtained by You from e-iceblue or its authorized resellers.

Four basic types of supplemental License Grants are described in sections (3B): Evaluation License, Developer License, Developer OEM License, Site Enterprise License, Site OEM License.

These five basic types are hereby further defined and/or restricted as to the number of developers, servers, geography locations and distribution method(s), depending on the specific product(s) being licensed by You.

The precise combination of the Base License Grant and one or more supplemental License Grant(s) obtained by You is identified by e-iceblue at the time of purchase or most recent upgrade.

3A. BASE LICENSE GRANT.

In consideration of Your payment of applicable license fees and/or Your acceptance of the terms of this Agreement, e-iceblue hereby grants to You certain nonexclusive and nontransferable rights limited by the terms of this Agreement.

The Licensed Software is licensed (not sold) to You, for use strictly under the terms of this Agreement, and e-iceblue reserves all rights not expressly granted to You herein. If You upgrade the Licensed Software to a higher-numbered version thereof or to a comparable E-iceblue product, this license is terminated and Your rights shall be limited to the license associated with the upgraded product or version.

In addition, You acknowledge that the Licensed Software may contain certain third party software components which are distributed under the terms of their own licenses.

3B. EVALUATION LICENSE.

In order to facilitate an efficient evaluation process of the Licensed Software by developers, e-iceblue may, at its discretion, provide specially designed, temporary License Key(s) that are encoded with an embedded expiration date.

The License granted in conjunction with such License Key(s) is considered temporary, and multiple developers may use it for the sole purpose of evaluating the Licensed Software during a specific Evaluation Trial Period. Licensed Evaluation Trial Software contains mechanisms that inhibit its ability to function at a later date.

It is Your responsibility to ensure that the Applications You create do not contain Licensed Evaluation Trial Software and that their ability to function at a later date is not inhibited or diminished.

3C. DEVELOPER LICENSE.

The following terms and conditions contained in this section (3C) apply to You ONLY if at the time of original purchase or most recent upgrade, the License granted to You by E-iceblue was defined as "Developer License".

The specific license level selected by you at the time of purchase or most recent upgrade determines whether the license applies to (1) a single named developer, or (2) a team of named developers, for example a Developer Team, or (3) a single site (facility or campus) whereby an unlimited number of developers located within said site (facility or campus) may be allowed access to the Licensed Software.

You are hereby granted a nonexclusive, royalty-free license to integrate the Licensed Software into Your Applications and to distribute such Licensed Software in connection with said Applications, provided that

(a) said Applications do not in any way compete with the Licensed Software, or provide substantially the same functionality as the Licensed Software, or expose the functionality of the Licensed Software through a programmable interface;

(b) each of Your Applications developed using Licensed Software is substantially larger, more complex, and contains a significantly wider range of functions as compared to the Licensed Software;

(c) each of Your Applications developed using Licensed Software is designed for end users, rather than for developers who would be able to build other software that would compete with the Licensed Software, and

(d) You do not permit further distribution of the Licensed Software by Your end users.

You may embed the License Keys in the Applications You distribute, provided that the following conditions are met:

(a) each such Application must be marked with a prominent copyright notice bearing Your name as declared by You during purchase of the License;

(b) the License Key may not be embedded in any such Application or distributed in any other manner that makes the License Key visible to the end user, and

(c) each such Application must include the following comment in its source code within close proximity to each copy of an embedded License Key: "This application utilizes a licensed copy of e-iceblue software, copyright (c) 2004-2018, which is the property of e-iceblue Corporation, www.e-iceblue.com. All rights are reserved by e-iceblue.

Use of any objects outside of the context of this application is a violation of United States and international copyright laws and other applicable laws."

For each License Key provided to You by e-iceblue, depending on the specific license level selected by you at the time of purchase or most recent upgrade, You are granted a nonexclusive License to make the Licensed Software and/or the License Key(s) available either to the specified number of Your named developers or to an unlimited number of Your developers located at a single site (facility or campus) as indicated by e-iceblue and further explained below.

Should either the number of named developers or the number of sites with access to the Licensed Software and/or the License Key(s) ever exceed the number indicated at the time of original purchase or most recent upgrade, You agree to inform E-iceblue of such change and to upgrade Your License accordingly by paying an upgrade fee to e-iceblue in a timely manner.

One Developer Subscription authorizes One developer to utilize our product to create unlimited number of applications which can be deployed at only One geography location within your organization. This type of license supports one server or multiple servers in the same place, which is/are used to host your web application.

One Developer OEM Subscription authorizes One developer to create any number of applications using our product which can be deployed at Unlimited geography locations. This type of license allows royalty-free distribution.

One Site Enterprise Subscription entitles up to 10 developers in the register enterprise to create an unlimited number of custom applications/service using our product. It allows deployment of any number of custom applications at up to 10 geography locations.

One Site Enterprise OEM Subscription authorizes up to 50 developers in the register organization to create an unlimited number of custom applications using our product. It allows royalty-free deployment of any number of custom applications to Unlimited geography locations.

4. RESTRICTIONS ON USE AND TRANSFER.

You may not sublicense, rent, lease, assign or otherwise transfer the Licensed Software or any of Your rights thereto, either in whole or in part, to anyone else, except that You may, after obtaining written permission from e-iceblue, permanently transfer the Licensed Software in its entirety, provided You retain no copies of the Licensed Software and the transferee agrees to the terms and conditions of this Agreement.

Use of the Licensed Software with a License Key obtained from a source other than e-iceblue or its authorized resellers is expressly and strictly forbidden. e-iceblue reserves the right to take any and all actions that e-iceblue, in its sole discretion, deems necessary to protect against, monitor and control the use of the Licensed Software with illegal License Keys.

You agree to ensure that anyone who uses any portion of the Licensed Software provided to You complies with the terms and conditions of this Agreement

5. INTELLECTUAL PROPERTY RIGHTS.

You acknowledge that the Licensed Software contains copyrighted material, trade secrets, trademarks and other proprietary material of e-iceblue ("Confidential Information"), and is protected under United States and international copyright law and other applicable laws.

You may not engage in any unauthorized use or disclosure of any Confidential Information. You agree that the source code of the Licensed Software is confidential and proprietary to e-iceblue. Accordingly, You may not copy the Licensed Software, or decompile, disassemble, reverse engineer or create a derivative work based upon the Licensed Software, or authorize anyone else to do so.

You must reproduce and maintain all copyright notices that are contained in the Licensed Software on any copy thereof that You make or use.

6. TERM AND TERMINATION.

Except as otherwise provided in this Agreement, depending on the specific license level selected by you at the time of purchase or most recent upgrade, the term of the license granted herein is either perpetual, or alternatively the license is periodic, valid for a specific period of time, such as a month or a year.

The license becomes effective when You install or use the Licensed Software. You may terminate this license at any time by destroying any and all copies of the Licensed Software or by returning all such copies to e-iceblue.

This Agreement and the associated license for the Licensed Software will terminate automatically and without provision of notice by e-iceblue if You fail to comply with any of the terms or conditions of this Agreement or if You cease permanent use of the Licensed Software, for whatever reason.

Upon termination of this Agreement for any reason, You agree that You will destroy all copies of the Licensed Software or return all such copies to e-iceblue. In addition to this sentence and the previous sentence, Sections 4, 5 and 7-13 shall survive any termination of this Agreement.

7. LIMITED WARRANTY.

e-iceblue warrants that the Licensed Software will perform substantially in accordance with its accompanying documentation, when operated in the execution environment specified in such documentation, for the warranty period ending thirty (30) days following the date on which You first install or first use the Licensed Software.

This limited warranty is void if failure of the Licensed Software to conform to such warranty is caused in whole or in part by

(a) any defect in any hardware or other equipment used with the Licensed Software;

(b) any failure of any hardware or any other equipment used with the Licensed Software to function in accordance with applicable manufacturer's specifications for such items;

(c) any alteration, modification or enhancement of the Licensed Software by You or anyone other than e-iceblue;

(d) any failure by You or anyone else to follow e-iceblue's instructions with respect to proper use of the Licensed Software; or

(e) improper use, abuse, accident, neglect or negligence on the part of You or anyone other than e-iceblue.

e-iceblue will not be obligated to honor the limited warranty or provide any remedy thereunder unless the Licensed Software is returned to e-iceblue along with the original dated receipt.

Any replacement Licensed Software will be warranted for thirty (30) days following the date on which e-iceblue provides it to You.

EXCEPT AS OTHERWISE SET FORTH IN THIS AGREEMENT, THE LICENSED SOFTWARE IS PROVIDED TO YOU "AS IS", AND E-ICEBLUE MAKES NO EXPRESS OR IMPLIED WARRANTIES WHATSOEVER WITH RESPECT TO ITS FUNCTIONALITY, CONDITION, PERFORMANCE, OPERABILITY OR USE.

WITHOUT LIMITING THE FOREGOING, E-ICEBLUE DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR FREEDOM FROM INFRINGEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM ONE JURISDICTION TO ANOTHER.

8. LIMITATIONS OF LIABILITY.

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THE FOREGOING LIMITED WARRANTY SHALL BE, AT E-ICEBLUE'S OPTION, EITHER (A) REPAIR OR REPLACEMENT OF THE LICENSED SOFTWARE SO THAT IT CONFORMS TO THE FOREGOING LIMITED WARRANTY, OR (B) REFUND OF THE FEE THAT YOU PAID TO LICENSE THE LICENSED SOFTWARE.

IN NO EVENT SHALL E-ICEBLUE BE LIABLE FOR ANY DAMAGES OF ANY TYPE, WHETHER DIRECT OR INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES, LOST PROFITS, LOSSES RESULTING FROM BUSINESS INTERRUPTION OR LOSS OF DATA, REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY UNDER WHICH SUCH LIABILITY MAY BE ASSERTED, EVEN IF E-ICEBLUE HAS BEEN ADVISED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES.

E-ICEBLUE SHALL HAVE NO LIABILITY WITH RESPECT TO ANY DATA THAT IS READ, ACCESSED, STORED OR PROCESSED WITH THE LICENSED SOFTWARE, OR FOR THE COSTS OF RECOVERING ANY SUCH DATA.

IN NO EVENT SHALL E-ICEBLUE'S MAXIMUM AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU TO LICENSE THE LICENSED SOFTWARE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

9. INDEMNIFICATION.

You agree to defend, indemnify, and hold E-iceblue and all of its employees, agents, representatives, directors, officers, partners, shareholders, attorneys, predecessors, successors, and assigns harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and litigation expenses), relating to or arising from Your use of the Licensed Software, or any breach of this Agreement, except to the extent such claim relates to or arises from a violation by e-iceblue of any third party copyright, trademark, trade secret or other intellectual property right.

10. EXPORT.

You agree that You will not export or transmit the Licensed Software or any Applications, directly or indirectly, to any restricted countries or in any manner that would violate United States laws and regulations as shall from time to time govern the license and delivery of technology abroad by persons subject to the jurisdiction of the United States government, including the Export Administration Act of 1979, as amended, and any applicable laws or regulations issued thereafter.

11. U.S. GOVERNMENT RESTRICTED RIGHTS.

If You are licensing the Licensed Software on behalf of the U.S. Government or any of its agencies ("Government"), the use, duplication, reproduction, release, modification, disclosure or transfer of the Licensed Software by the Government is subject to restricted rights in accordance with Federal Acquisition Regulation ("FAR") 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement ("DFARS") 227.7202 for military agencies.

The Licensed Software is commercial. Use of the Licensed Software by the Government is further restricted in accordance with the terms and conditions of this Agreement.

12. MISCELLANEOUS.

If any provision of this Agreement is held to be invalid or unenforceable under any circumstances, its application in any other circumstances and the remaining provisions of this Agreement shall not be affected.

No waiver of any right under this Agreement shall be effective unless given in writing by an authorized representative of e-iceblue.

No waiver by e-iceblue of any right shall be deemed to be a waiver of any other right of e-iceblue arising under this Agreement.

This Agreement is solely between You and e-iceblue and shall not be construed to create any third party beneficiary rights in any other individual, partnership, corporation or other entity.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its provisions governing conflicts of law.

Any and all disputes between You and e-iceblue pertaining to this Agreement shall be submitted to one arbitrator in binding arbitration within ten miles of New York City, New York in accordance with the Commercial Rules of the American Arbitration Association ("AAA").

The arbitrator shall be experienced in computer consulting, the development of custom software, the sale of packaged software, or related services.

If You and e-iceblue do not agree on an arbitrator within sixty (60) days of the institution of the arbitration, the arbitrator shall be chose by AAA.

Evidence and argument may be presented in person or by telephone, fax, postal mail, electronic mail, and other methods of communication approved by the arbitrator.

The prevailing party in such proceeding shall be entitled to recover its actually incurred costs, including reasonable attorney's fees, arbitration and court costs.

All hearings shall be held and a written arbitration award issued within one-hundred eighty (180) days of the date on which the arbitrator is appointed.

Judgement on the award shall be final and binding and may be entered in any court of competent jurisdiction.

13. ENTIRE AGREEMENT.

YOU AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND E-ICEBLUE, AND THAT IT SUPERSEDES ANY PROPOSALS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS RELATING TO THE LICENSED SOFTWARE AND THE SUBJECT MATTER HEREOF.

E-ICEBLUE SHALL NOT BE BOUND BY ANY PROVISION OF ANY PURCHASE ORDER, RECEIPT, ACCEPTANCE, CONFIRMATION, CORRESPONDENCE OR OTHERWISE, OR BY ANY AGREEMENT BETWEEN YOU AND ANY OTHER PARTY, UNLESS E-ICEBLUE SPECIFICALLY AGREES TO SUCH PROVISION IN WRITING IN A FORM OF A LEGAL CONTRACT, DATED AND SIGNED BY YOU AND BY E-ICEBLUE'S OFFICER OR AUTHORIZED EMPLOYEE.

NO VENDOR, DISTRIBUTOR, PROVIDER, RESELLER, OEM, SALES REPRESENTATIVE, OR OTHER PERSON IS AUTHORIZED TO MODIFY THIS AGREEMENT OR TO MAKE ANY WARRANTY, REPRESENTATION OR PROMISE REGARDING THE LICENSED SOFTWARE WHICH IS DIFFERENT FROM THOSE SET FORTH IN THIS AGREEMENT.

    1.9. "Modifications" means any addition to or deletion from the substance or structure of either the Original Code or any previous Modifications. When Covered Code is released as a series of files, a Modification is:

    A. Any addition to or deletion from the contents of a file containing Original Code or previous Modifications.

    B. Any new file that contains any part of the Original Code or previous Modifications.

    1.10. "Original Code" means Source Code of computer software code which is described in the Source Code notice required by Exhibit A as Original Code, and which, at the time of its release under this License is not already Covered Code governed by this License.

    1.10.1. "Patent Claims" means any patent claim(s), now owned or hereafter acquired, including without limitation, method, process, and apparatus claims, in any patent Licensable by grantor.

    1.11. "Source Code" means the preferred form of the Covered Code for making modifications to it, including all modules it contains, plus any associated interface definition files, scripts used to control compilation and installation of an Executable, or source code differential comparisons against either the Original Code or another well known, available Covered Code of the Contributor's choice. The Source Code can be in a compressed or archival form, provided the appropriate decompression or de-archiving software is widely available for no charge.

    1.12.     (b) under Patents Claims infringed by the making, using or selling of Original Code, to make, have made, use, practice, sell, and offer for sale, and/or otherwise dispose of the Original Code (or portions thereof).

    (c) the licenses granted in this Section 2.1(a) and (b) are effective on the date Initial Developer first distributes Original Code under the terms of this License.

    (b) under Patent Claims infringed by the making, using, or selling of Modifications made by that Contributor either alone and/or in combination with its Contributor Version (or portions of such combination), to make, use, sell, offer for sale, have made, and/or otherwise dispose of: 1) Modifications made by that Contributor (or portions thereof); and 2) the combination of Modifications made by that Contributor with its Contributor Version (or portions of such combination).

    (c) the licenses granted in Sections 2.2(a) and 2.2(b) are effective on the date Contributor first makes Commercial Use of the Covered Code.

    (d) Notwithstanding Section 2.2(b) above, no patent license is granted: 1) for any code that Contributor has deleted from the Contributor Version; 2) separate from the Contributor Version;

    3) for infringements caused by: i) third party modifications of Contributor Version or ii) the combination of Modifications made by that Contributor with other software (except as part of the Contributor Version) or other devices; or 4) under Patent Claims infringed by Covered Code in the absence of Modifications made by that Contributor.

  2. Distribution Obligations.

    3.1. Application of License.

    The Modifications which You create or to which You contribute are governed by the terms of this License, including without limitation Section 2.2. The Source Code version of Covered Code may be distributed only under the terms of this License or a future version of this License released under Section 6.1, and You must include a copy of this License with every copy of the Source Code You distribute. You may not offer or impose any terms on any Source Code version that alters or restricts the applicable version of this License or the recipients' rights hereunder. However, You may include an additional document offering the additional rights described in Section 3.5.

    3.2. Availability of Source Code.

    Any Modification which You create or to which You contribute must be made available in Source Code form under the terms of this License either on the same media as an Executable version or via an accepted Electronic Distribution Mechanism to anyone to whom you made an Executable version available; and if made available via Electronic Distribution Mechanism, must remain available for at least twelve (12) months after the date it initially became available, or at least six (6) months after a subsequent version of that particular Modification has been made available to such recipients.     3.3. Description of Modifications.

You must include a prominent statement that the Modification is derived, directly or indirectly, from Original Code provided by the Initial Developer and including the name of the Initial Developer in (a) the Source Code, and (b) in any notice in an Executable version or related documentation in which You describe the origin or ownership of the Covered Code.

    3.4. Intellectual Property Matters

    (a) Third Party Claims.

    If Contributor has knowledge that a license under a third party's intellectual property rights is required to exercise the rights granted by such Contributor under Sections 2.1 or 2.2, Contributor must include a text file with the Source Code distribution titled "LEGAL" which describes the claim and the party making the claim in sufficient detail that a recipient will know whom to contact. If Contributor obtains such knowledge after the Modification is made available as described in Section 3.2, Contributor shall promptly modify the LEGAL file in all copies Contributor makes available thereafter and shall take other steps (such as notifying appropriate mailing lists or newsgroups) reasonably calculated to inform those who received the Covered Code that new knowledge has been obtained.

    (b) Contributor APIs.

    If Contributor's Modifications include an application programming interface and Contributor has knowledge of patent licenses which are reasonably necessary to implement that API, Contributor must also include this information in the LEGAL file.

    (c) Representations.

    Contributor represents that, except as disclosed pursuant to Section 3.4(a) above, Contributor believes that Contributor's Modifications are Contributor's original creation(s) and/or Contributor has sufficient rights to grant the rights conveyed by this License.

    3.5. Required Notices.

    You must duplicate the notice in Exhibit A in each file of the Source Code. If it is not possible to put such notice in a particular Source Code file due to its structure, then You must include such notice in a location (such as a relevant directory) where a user would be likely to look for such a notice. If You assert a patent infringement claim against Participant alleging that such Participant's Contributor Version directly or indirectly infringes any patent where such claim is resolved (such as by license or settlement) prior to the initiation of patent infringement litigation, then the reasonable value of the licenses granted by such Participant under Sections 2.1 or 2.2 shall be taken into account in determining the amount or value of any payment or license.

    8.4. In the event of termination under Sections 8.1 or 8.2 above, all end user license agreements (excluding distributors and resellers) which have been validly granted by You or any distributor hereunder prior to termination shall survive termination.

  12. MULTIPLE-LICENSED CODE.

    Initial Developer may designate portions of the Covered Code as "Multiple-Licensed". License Agreement

IMPORTANT

PLEASE READ THIS END USER LICENCE AGREEMENT CAREFULLY BEFORE ATTEMPTING TO DOWNLOAD OR USE ANY CODES, DOCUMENTATION OR OTHER MATERIAL AVAILABLE THROUGH ZZZ PROJECTS.

This agreement is between you or the entity you represent and the ZZZ Projects company for any Software as published on the date of a Software purchase or renewal, terms incorporated by reference, terms applicable to other ZZZ Projects web site.

If you are entering into this Agreement on behalf of an entity, such as your employer, you represent that you have the legal authority to bind that entity. If you specify a company name in connection with purchasing for or ordering a Software, you will be deemed to have placed that order and to have entered into this Agreement on behalf of that organization or company.

Key terms are defined in Section 3.

1.0 SOFTWARES

A) Right to use:
We grant you the right to access and use the Software during the support and upgrade period and only in accordance with this Agreement. After the support and upgrades period or in case of a cancelled support and upgrades period, all the license keys that were set up during the support and upgrades period remain valid.

B) Distribution:
The possession of any license or free version doesn’t allow you in any way to copy or reproduce the library unless otherwise agreed by a written consent with the ZZZ Projects company CEO. You are not permitted to distribute ZZZ Projects Software pursuant to this Section:as a standalone product; a similar product; or as a part of any product other than your integrated product.

C) Company Plan:
Each support and upgrade period is sold for a particular or a company who is allowed to share the previously bought licenses with all of its developers who own a developer seat only excluding any third parties. Any third parties who wishes to use the products developed by the company or particular who bought the product is allowed, but cannot customise it without the ZZZ Projects agreement.

D) Manner of use:
By accepting the term of this Agreement, you may not:

i) Reverse engineer, decompile, disassemble or work around technical limitations in the Software, except to the extent that applicable law permits it despite these limitations;
ii) Disable, tamper with or otherwise attempt to circumvent any mechanism that limits your use of the Software;
iii) Rent, lease, lend, resell, transfer, or sublicense any Software or portion thereof to or for third parties, except as explicitly permitted herein or in license terms that accompany any Software component;
iv) Use the Software for any purpose that is unlawful or prohibited by this Agreement; or
v) Use the Software in any manner that could damage, disable, overburden, or impair any ZZZ Projects Software, or the network(s) connected to any ZZZ Projects Software, or interfere with any other party’s use and enjoyment of any Software.

E) Updates:
We may make changes to the Software from time to time, including: the availability of features; how long, how much or how often any given feature may be used; and feature dependencies upon other services or software.

F) Supports/Help:
You are eligible to collaborate in Issue Tracker. You are also eligible to communicate with us by mail.

2.0 CONDITIONS AND LIMITATIONS

A) No Trademark License:
The software license does not grant you rights to use ZZZ Projects name, logo, or trademarks.

B) Content Distribution:
If you distribute any portion of the content, you must retain all copyright, patent, trademark, and attribution notices that are present in the content. If you distribute any portion of the content in source code form, you may do so only under this license by including a complete copy of this license with your distribution. If you distribute any portion of the content in compiled or object code form, you may only do so under a license that complies with this license.

C) Software is licensed “as-is”:
ZZZ Projects warrants and represents to you that: the Software does not infringe upon or violate any third party patent, copyright, trade secret or other proprietary or intellectual property right. For avoidance of doubt, the Software is provided as is and without any warranty and ZZZ Projects makes no other express warranties, guarantees or conditions. To the extent permitted under your local laws, the contributors exclude the implied warranties of merchantability, fitness for a particular purpose.

D) Payment:
All payments are not refundable, for any reason.

E) Validity:
This License Agreement is valid without signature. It becomes effective upon the user’s receipt of a license key.

F) Developer Seat:
“Developer Seat” means one developer using the ZZZ Project’s library on his/her Workstation to perform any development. It does not include multiple developers sharing the library on one or more computers, even if their use is only part-time and/or is not concurrent.

3.0 DEFINITIONS:

Any reference in this Agreement to “day” will be a calendar day.

A) Content:
“Content” means documents, codes, photographs, videos, and other graphical, textual, or audio-visual content that may be subject to copyright protection that is available through the ZZZ Projects website.

B) Customer Data:
“Customer Data” means any content or other data, including all text, image files that are provided to us by, or on behalf of you, through your use of the Software for use by you or your authorized users. Customer Data does not include Submissions or any other Content or data that you submit to the Forum section or otherwise provided via the Software for public access.

C) Software:
“Software” means any information, documentation, codes that ZZZ Projects made available to you under this Agreement for your support and upgrades period.

D) Submissions
“Submissions” means Content, code, comments, feedback, suggestions, information or materials that you provide via the ZZZ Projects website or any Software for public access (rather than for your personal use or use by your authorized users). Submissions do not include Customer Data.

E) Company Plan
“Company Plan” means a per-company based support and upgrade period, or other ZZZ Projects granted benefit that permits access to and account services for the Software.

F) We and Us
“We” and “us” means ZZZ Projects Inc.

G) You and Your
“You” and “Your” means the person or entity accepting this Agreement to use the Software.
